WAIVER OF JURY TRIAL. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AMZSELLERTOOLS EACH IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE.

CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AMZSELLERTOOLS AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT NEITHER YOU NOR AMZSELLERTOOLS WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. YOU AND AMZSELLERTOOLS FURTHER AGREE THAT NO PROCEEDING WILL BE JOINED, CONSOLIDATED, OR COMBINED WITH ANOTHER PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF BOTH PARTIES.

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact AMZToolHub at legal@amztoolhub.com and attempt to resolve any dispute informally for a period of at least thirty (30) days. During this informal resolution period, the parties shall make a good faith effort to negotiate and resolve the dispute.

Binding Arbitration. If a dispute cannot be resolved informally within thirty (30) days, and the amount in controversy exceeds five hundred U.S. dollars ($500.00 USD), either party may elect to resolve the dispute through final and binding arbitration, rather than in court, except as set forth below. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted by a single arbitrator in the State of Delaware.

Small Claims Court Exception. Notwithstanding the foregoing, either party may elect to have disputes or claims with an amount in controversy of five hundred U.S. dollars ($500.00 USD) or less resolved in a small claims court of competent jurisdiction, provided that the action is maintained on an individual and non-representative, non-class basis.

Costs. Each party shall bear its own costs and expenses in connection with any arbitration proceeding, including its own attorneys’ fees, except as otherwise provided by the AAA Rules or applicable law. The arbitrator may award costs and fees to the prevailing party as permitted by law.

No Class Arbitration. All claims and disputes within the scope of this arbitration agreement must be arbitrated on an individual basis and not on a class, collective, or representative basis. Only individual relief is available, and claims of more than one user or person cannot be arbitrated or consolidated with those of any other user or person.

Enforceability. If the class action waiver or any part of this arbitration provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved in accordance with Section 18 (Governing Law & Jurisdiction).

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent, or if such modification is not possible, it shall be severed from these Terms.

The failure of AMZToolHub to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by AMZToolHub.

These Terms of Service, together with our Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and AMZToolHub with respect to your use of the Site. These documents supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.
